Please read these Terms of Service ("Terms") carefully before using BizBooks Pro software ("Software", "Service", "Application") operated by BizBooks LLC ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all users of the Software.

By downloading, installing, or using the Software, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not use the Software.

1. License Grant

1.1 Desktop Application License

BizBooks Pro is licensed, not sold. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control.

1.2 License Tiers

The Software is available in multiple license tiers:

• Trial - 30-day evaluation period with full features (max 2 users, 2 companies)
• Basic - Single-user license for one company ($299/year)
• Professional - Single-user license for unlimited companies ($540/year)
• Accountant - Single-user license with accountant tools for unlimited client companies ($780/year)
• Enterprise - Multi-user license for unlimited users and companies ($1,680/year)

1.3 License Restrictions

You may NOT:

• Copy, modify, or distribute the Software except as expressly permitted
• Reverse engineer, decompile, or disassemble the Software
• Remove or alter any proprietary notices or labels on the Software
• Use the Software for any illegal or unauthorized purpose
• Rent, lease, lend, sell, redistribute, or sublicense the Software
• Use the Software to provide services to third parties (SaaS model)
• Share your license key with unauthorized users

1.4 Number of Installations

• Trial/Basic/Professional/Accountant: Unlimited devices per licensed user
• Enterprise: Installation on devices for all authorized users
• You may transfer the Software to a new device if the previous installation is completely removed

2. Subscription & Billing

2.1 Free Trial

BizBooks Pro offers a 30-day free trial with full feature access. No credit card is required for the trial. You may create up to 2 user accounts and 2 companies during the trial period.

2.2 Subscription Plans

After the trial period expires, continued use requires a paid subscription:

• Annual Billing: Charged annually on the anniversary of your subscription start date

2.3 Automatic Renewal

All subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate (subject to price lock guarantee).

2.4 Payment

• Payment is processed securely through Stripe, Inc.
• You must provide valid payment information
• You authorize us to charge your payment method for all fees incurred
• We do not store your credit card information (Stripe handles all payment data)

2.5 12-Year Price Lock Guarantee

We guarantee your subscription rate will not increase for 12 years from your initial purchase date, provided you maintain continuous subscription status. Price increases for existing customers are prohibited during this period.

2.6 Taxes

All fees are exclusive of applicable taxes (sales tax, VAT, GST, etc.). You are responsible for paying all taxes associated with your subscription.

3. Refund Policy

3.1 Free Trial

BizBooks Pro offers a 30-day free trial with full features. We encourage you to fully evaluate the software during your trial period before purchasing.

3.2 Annual Subscriptions

Due to the extensive free trial period, refunds on annual subscriptions are considered on a case-by-case basis for technical issues that prevent use of the software. Contact support@bizbooks.pro to discuss your situation.

3.3 Refund Exceptions

Refunds are NOT available for:

• Trial accounts (already free)
• Accounts terminated for Terms of Service violations
• Change of mind after purchase (please use the 30-day trial to evaluate)

4. Cancellation & Termination

4.1 Cancellation by You

You may cancel your subscription at any time through:

• The Stripe billing portal (Settings → Billing & Subscription → Manage Billing)
• Emailing support@bizbooks.pro

Upon cancellation:

• Your access continues until the end of the current billing period
• You will not be charged for subsequent periods
• Your data remains accessible in read-only mode for 1 year

4.2 Termination by Us

We reserve the right to suspend or terminate your access immediately, without prior notice, for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent activity
• Illegal use of the Software
• Abuse of support resources

4.3 Effect of Termination

Upon termination:

• Your license to use the Software terminates immediately
• You must cease all use of the Software
• You may export your data within 30 days of termination
• We may delete your data after 1 year in accordance with our data retention policy

5. Data Ownership & Privacy

5.1 Your Data

You retain all ownership rights to your data. We do not claim any ownership over the financial data, customer information, or other content you enter into the Software.

5.2 Data Storage

• Desktop Installation: Your data is stored locally on your computer in a PostgreSQL database
• Backups: The Software creates automatic daily backups stored locally on your device

5.3 Data Security

We implement industry-standard security measures:

• Password encryption using bcrypt
• JWT token authentication
• Automatic backups
• SQL injection prevention
• Secure communication protocols

5.4 Privacy Policy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

5.5 Data Export

You may export your data at any time in standard formats (CSV, Excel, PDF). No fees are charged for data export.

6. Software Updates

6.1 Automatic Updates

The Software includes an automatic update feature that downloads and installs updates without user intervention. This ensures you receive:

• Security patches
• Bug fixes
• New features
• Performance improvements

6.2 Update Policy

• Updates are provided free of charge to active subscribers
• You may temporarily disable automatic updates in Settings
• Some updates may be required for continued use of the Software
• We are not liable for issues arising from failure to install updates

6.3 Pre-Update Backups

The Software automatically creates a safety backup before installing major updates. This allows you to restore your data if an update causes issues.

7. Support & Maintenance

7.1 Support Channels

7.2 Response Times

7.3 Support Scope

Support includes:

• Technical assistance with Software functionality
• Bug reports and troubleshooting
• License activation assistance
• General guidance on Software features

Support does NOT include:

• Accounting advice or consulting
• Custom software development
• Third-party software support
• On-site installation or training

Data Migration Services: Assistance with data migration from other systems (QuickBooks, Excel, etc.) is available as a separate paid service. Contact support@bizbooks.pro for pricing.

8. Limitation of Liability

8.1 Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SOFTWARE.

8.3 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

8.4 Critical Use Disclaimer

The Software is NOT designed for use in high-risk activities where failure could lead to death, personal injury, or environmental damage. You use the Software at your own risk.

9. Indemnification

You agree to indemnify, defend, and hold harmless BizBooks LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use of the Software
• Your violation of any law or regulation
• Infringement of any third-party rights

10. Intellectual Property

10.1 Our Rights

All intellectual property rights in the Software, including source code, design, trademarks, logos, and documentation, are owned by us or our licensors. These Terms do not grant you any rights to our intellectual property except the limited license described in Section 1.

10.2 Feedback

If you provide feedback, suggestions, or ideas about the Software, we may use them without obligation or compensation to you.

10.3 Trademarks

"BizBooks Pro" and all related logos are trademarks of BizBooks LLC. You may not use our trademarks without prior written permission.

11. Miscellaneous

11.1 Governing Law

These Terms are governed by the laws of Virginia, United States, without regard to conflict of law principles.

11.2 Dispute Resolution

Any disputes arising from these Terms or the Software shall be resolved through binding arbitration in Fairfax, VA, except that you may bring claims in small claims court.

11.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

11.4 Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Software and supersede all prior agreements.

11.5 Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

11.6 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any successor or affiliate.

11.7 Changes to Terms

We may modify these Terms at any time by posting the updated Terms on our website. Your continued use of the Software after changes constitutes acceptance of the modified Terms. We will notify you of material changes via email or in-app notification.
